The CoherentConnect web application, desktop client, APIs, and any related materials (together, the “Service”) are provided “as is” and “as available”. To the maximum extent permitted by law, we make no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
Your use of the Service is at your own risk. You are solely responsible for the decisions you make based on what the Service shows you.
No Professional Advice
CoherentConnect is a sales-intelligence and outreach tool. Nothing the Service surfaces — including market signals, company summaries, contact suggestions, or generated emails — constitutes legal, financial, investment, tax, accounting, regulatory, or other professional advice.
If a decision has legal, financial, or compliance consequences, consult a qualified professional. Do not treat agent output as a substitute for your own judgement or expert review.
Accuracy of Signals and Contacts
The agent ingests publicly available news, filings, research feeds, and other third-party sources to surface market signals, company information, and decision-maker contacts. While we apply reasonable care to deduplicate, score, and filter this content, we do not guarantee that any individual signal, summary, contact record, or affiliation is accurate, current, or complete.
You acknowledge that:
- Public sources can be wrong, outdated, or contradictory.
- People change roles and organisations frequently.
- Automated extraction can misattribute facts to companies or individuals.
- Translations, name variants, and entity disambiguation are best-effort.
Verify any fact that matters to a business decision before acting on it. Treat the agent's output as a starting point for research, not a finished citation.
Desktop Client — What It Touches and What It Does Not
The CoherentConnect desktop client is a thin, scoped companion to the web app. It is not a general-purpose agent or file scanner on your machine. This section explains, in plain English, exactly what it touches.
What the desktop client uses on your machine:
- It writes the emails you approved into your Outlook so they go out from your address, and checks that they were sent.
- From your Outlook inbox it only pulls in the replies, read receipts, and bounce notices for messages the agent sent for you — so you can see them inside the app and the agent can suggest a follow-up. Anything else in your inbox is left alone.
- It pulls your Outlook contacts into the app so you can browse and reach them from one place. This happens on a regular sync (about every five minutes while the app is open) and when you press Sync yourself. You can stop it any time by closing the app.
- It remembers your settings, the contacts it imported, and the current outreach queue locally on your machine, so you can review them offline.
What the desktop client does NOT access:
- It does not scan files, documents, photos, source code, downloads, or any other folder on your disk outside its own application data.
- It does not read messages in your Inbox unrelated to outreach the agent has sent. The reply scan is strictly scoped to agent-originated conversations.
- It does not access your calendar, browsing history, or clipboard.
- It does not access your microphone, camera, keystrokes, or screen contents.
- It does not scan or interact with other applications running on your machine.
- It does not run a background data-collection process. When the client is closed, no telemetry is silently transmitted.
The only data that flows between the desktop client and our servers is (a) the outreach drafts, recipient list, and schedule generated for your account inside CoherentConnect; (b) reply, read-receipt, and bounce status for those specific outreaches; and (c) the Personal Access Token used to authenticate the connection. You can revoke that token at any time from the web app, and you can clear the local cache from Settings → Web Sync in the desktop client.
We do not and will not use the desktop client as a channel to exfiltrate, analyse, or monetise content on your computer. If a future version ever needs an additional permission, we will ask you in plain language, document the exact scope, and let you decline.
You Are the Sender of Record
When you link the desktop companion to your Microsoft Outlook installation and authorise CoherentConnect to dispatch outreach on your behalf, every email sent is sent from your Outlook account and by you as the legal sender of record. CoherentConnect is a tool that assists with drafting and delivery; it is not the sender, mailer, or commercial originator of the messages it dispatches for you.
You acknowledge and agree that:
- Final responsibility for the content, recipient selection, frequency, identification of the sender, opt-out mechanism, and legality of each message rests with you.
- You must comply with all applicable anti-spam, privacy, marketing, and electronic-communications laws, including (without limitation) the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 (India); the CAN-SPAM Act of 2003 (United States); the General Data Protection Regulation and the ePrivacy Directive (EU); the Privacy and Electronic Communications Regulations (UK); Canada's Anti-Spam Legislation (CASL); and equivalents in the recipient's jurisdiction.
- You are responsible for honouring opt-out requests promptly (within ten (10) business days under CAN-SPAM and equivalent statutes) and for not sending further commercial messages to a recipient who has unsubscribed.
- Recipient information may be derived from publicly available sources. You are responsible for ensuring that contacting any specific recipient is lawful in the relevant jurisdiction, that you have a lawful basis for processing recipient personal data, and, where required, that you provide a privacy notice on first contact.
- Auto-send can be paused or disabled at any time from Settings, and you must do so promptly if you become aware of any compliance issue.
- You will not use the Service to send messages to consumer (B2C) recipients unless you have an applicable lawful basis (for example, prior express consent where required).
Third-Party Links and Sources
The Service may link to or surface content from third-party websites, publications, social platforms, and APIs. We do not control and are not responsible for the content, availability, accuracy, or practices of those third parties. A reference or link does not imply endorsement.
No Guarantee of Results
We do not guarantee any specific business outcome from using the Service — including any specific number of leads, replies, meetings, opportunities, or revenue. Outreach performance depends on many factors outside our control, including your offering, market timing, segment, copy, deliverability, and recipient behaviour.
Service Availability
We aim for high availability but do not guarantee uninterrupted, error-free, or secure operation. Maintenance windows, third-party outages (cloud, email providers, LLM APIs), network issues, and unforeseen incidents can cause delays or failures in dispatch, tracking, or signal updates. Where practicable, we will notify you in advance of planned downtime.
Limitation of Liability
Subject to and without limiting the liability provisions in our Terms and Conditions, to the maximum extent permitted by applicable law we are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your reliance on anything the Service surfaces.
Nothing in this Disclaimer limits any liability that cannot be limited by law.
